SECTION 1: PAYMENT
1. Payment Terms
● All invoices for charge accounts are due Net 30 days from the invoice date unless
otherwise stated.
● Standard orders (non charge account) must be paid in full before any good
or service is delivered, performed, or released to the customer.

● Payment before or on receiving of goods are required for charge on delivery accounts
● Payment for invoices can be sent via ACH Transfer, electronic wire, check, money order,
debit card, or credit card.
● All online payments or purchases are subject to a 3.5% online transaction fee.
2. Late Payments
● Accounts are considered as late once an invoice is unpaid after agreed net terms as
listed in section 1.
● Once an account is considered late, an interest fee up to the maximum allowable
amount by law in the relevant jurisdiction to the customer’s business address may be
applied on a recurring monthly basis. Basis of the calculation is the invoice amount with
any added accumulated interest calculated from the date of the original invoice.
● Customers must disclose payment dates during initial set up of a charge account if
invoices are typically paid on a certain date by the customer. Accounts over 45 days
past due may be placed on hold.
● Late fees may be waived at the sole discretion of Greenmile DPF Cleaning LLC.
3. Credit Limit
● Credit limits are assigned upon approval and may be adjusted at any time.
4. Collections & Fees
● Customer agrees to pay all collection costs, including attorney fees if applicable.
5. Disputes
● Invoice discrepancies must be reported within 7 days.
6. Ownership of Goods
● All goods remain property of the seller until paid in full.
7. Right to Suspend Work
● Greenmile DPF Cleaning LLC reserves the right to suspend services or shipments on
any account with past due balances.
SECTION 2: SALES AND SERVICE
Terminology:
“Aftertreatment device” - General encompassment of components or systems related to the
aftertreatment system.
“Shipper” - Any company given responsibility to intake, ship, and deliver products between
Greenmile DPF Cleaning LLC or third party supplier to the customer. Examples: UPS, USPS,
Fedex, etc.
“Third Party Supplier” - Manufacturers, distributors, resellers, wholesalers, or suppliers that
Greenmile DPF Cleaning LLC is reselling to the customer.
“Dropship” - Items shipped directly to the customer from third party suppliers with Greenmile
DPF Cleaning LLC propagating procurement and sale.
1. Cleaning & Inspection
● Aftertreatment devices subject to cleaning services will be inspected pre and post
cleaning for any faults or failures.
● Pre and post inspection results may vary depending on prior condition and damage
before cleaning. Due to this, cleanings are not guaranteed. It is Greenmile DPF Cleaning
LLC’s responsibility to notify the customer of unserviceable units.
● It is the customer’s responsibility to perform an inspection for damages, manufacturing
faults, or incompatibility prior to installation on any dropshipped products.
2. Non-Cleanable Units
● Units deemed non-serviceable will be returned or replaced at customer expense.
● Cleaning cost on a non-serviceable unit will not be waived unless authorized by a
Greenmile DPF Cleaning LLC employee or a replacement unit is purchased.
3. Turnaround Time
● Standard turnaround time for locally cleaned units is 24–72 hours, but may vary based
on workload and part condition.
4. Core Charges
● Certain parts may require a core charge until an acceptable rebuildable core is
returned. Cores must be returned freight prepaid by the customer.
● Cores must be “like for like”
○ Cores must be returned within 30 days of purchase.
○ Only cores equivalent to the purchased part number are acceptable.
○ Core returns are subject to third party seller’s terms.
○ Greenmile DPF Cleaning LLC is not responsible for any core damages during
shipment from improper packaging from the customer.
○ Cores will be recycled or returned to the customer upon request at the
customer’s expense if the core is denied for any reason.
5. Shipping & Dropshipping
● Risk of loss or damage transfers to the customer upon shipment from any third party
supplier.
● Greenmile DPF Cleaning LLC is not responsible for delays, loss, or damage caused by
the shipper, including but not limited to missed deliveries, transit delays, or handling
damage.
● The customer is responsible for providing accurate shipping information. Greenmile DPF
Cleaning LLC is not liable for issues arising from incorrect or incomplete addresses
provided by the customer.
● For all shipments, including dropship orders, the customer is responsible for filing and
managing any claims for loss or damage with the carrier unless otherwise agreed to in
writing.
● Greenmile DPF Cleaning LLC may, at its discretion, assist with filing claims; however,
such assistance does not constitute acceptance of liability, and claim outcomes are not
guaranteed.
● Orders fulfilled by third party suppliers may not be eligible for cancellation once
processed or prepared for shipment.
● The customer is responsible for all restock fees and freight costs associated with returns,
replacements, refused shipments, or cancellations. See section 8.
6. Warranty Limitations
● Cleaning services are intended to restore exhaust flow; however, no guarantee is made
that cleaning will resolve all performance issues or fault codes related to the
aftertreatment system.
● Greenmile DPF Cleaning LLC provides no warranty for failures resulting from conditions
outside its control, including but not limited to:
○ Engine related issues
○ Faulty sensors or electronic components
○ Improper installation
○ Continued operation with unresolved underlying faults
● All warranties for new or remanufactured parts are provided solely by the third-party
supplier.
● Warranty claims for third-party supplied products must be submitted through Greenmile
DPF Cleaning LLC and are subject entirely to the supplier’s review, approval, or denial.
● Greenmile DPF Cleaning LLC does not guarantee approval of any warranty claim and is
not responsible for denied claims by the supplier.
● Any costs associated with denied warranty claims, including return shipping, inspection
fees, or replacement parts, are the responsibility of the customer.
● Warranties do not cover damage or failure resulting from misuse, neglect, improper
maintenance, accidents, unauthorized modifications, or normal wear and tear.
7. Storage Fees
● Units left over 30 days after completion may incur storage fees or be considered
abandoned.

● New return requests must be submitted within 14 days of the original purchase date.
● Freight charges are non refundable.

● All return requests are subject to approval by Greenmile DPF Cleaning LLC and may be denied.
● All approved returns are subject to a 20% restocking fee.
● If item requested for return was special ordered, customer is responsible for freight charges.
● Outbound freight charges for cores or new returns will be deducted from the total return charge,
or, per customer request and subject to approval by Greenmile, may be separately invoiced.
● Order cancellation requests for custom made items or orders already shipped may not be approved
by Greenmile DPF Cleaning LLC.
● All approved returns are subject to a 20% restocking fee.
● If item requested for return was special ordered, customer is responsible for freight charges.
● Outbound freight charges for cores or new returns will be deducted from the total return charge,
or, per customer request and subject to approval by Greenmile, may be separately invoiced.
● Order cancellation requests for custom made items or orders already shipped may not be approved
by Greenmile DPF Cleaning LLC.
SECTION 3: GENERAL LIABILITY
● Greenmile DPF Cleaning LLC shall not be liable for any damage to property caused by
the parts or services sold, nor shall Greenmile DPF Cleaning LLC be liable for any
damage to products manufactured by the customer, or to products of which the
customer’s products form part.
● If Greenmile DPF Cleaning LLC incurs liability towards any third party for such damage
to property, the customer shall indemnify, defend and hold Greenmile DPF Cleaning LLC
harmless.
● Greenmile DPF Cleaning LLC shall not be liable for, and therefore expressly disclaims,
any remedy, damages or compensation for trading loss, operating loss, loss of profits
and similar financial consequential losses or indirect losses, including claims from third
parties.
● In all cases, the total liability of Greenmile DPF Cleaning LLC shall not exceed the
amount paid by the customer for the specific product or service giving rise to the claim,
unless additional compensation is provided by a third party supplier or manufacturer, in
which case such compensation will be passed through to the customer.
Trademark Disclaimer
All product names, company names, trademarks, service marks, and logos displayed on this website are the property of their respective owners. Their use does not imply any affiliation with, endorsement by, sponsorship of, or partnership with Greenmile DPF Cleaning unless explicitly stated. Logos and marks are used solely for identification, compatibility, informational, and reference purposes.
Acceptance of any quotation, invoice, purchase order, service request, or commencement of work constitutes the Client's agreement to the Terms and Conditions set forth herein.
